Website content and inquiry responses are invitations to discuss business and are not binding offers unless clearly stated otherwise. Quotations are valid for the period shown and may depend on product availability, minimum order quantities, technical requirements, tooling, packaging, shipping, taxes, and currency changes.

An order becomes binding only after we issue written confirmation or sign a separate agreement. You are responsible for reviewing specifications, quantities, delivery information, and intended use before approving an order.

Prices, payment schedules, currencies, taxes, shipping costs, and bank charges will be stated in the applicable quotation, pro forma invoice, or agreement. Payment must be made by the due date and through the approved payment method. We may pause production or delivery when payment is overdue.

Product images, colors, measurements, performance data, and descriptions are provided as accurately as reasonably possible. Minor production variations may occur, and specifications may change where necessary to improve a product or meet legal and safety requirements.

Delivery dates are good-faith estimates unless expressly guaranteed in writing. Risk, title, freight responsibilities, customs clearance, and import duties are determined by the Incoterm or delivery terms in the confirmed order.

Any product warranty, inspection period, remedy, and return procedure will be set out in the applicable quotation, product documentation, or sales agreement. You must inspect deliveries promptly and notify us in writing of shortages, transit damage, or alleged defects within the agreed period, including relevant order details and supporting evidence.

Returns require prior written authorization. Unless mandatory law provides otherwise, warranties do not cover ordinary wear, improper storage or installation, misuse, unauthorized modification, unsuitable operating conditions, or failure to follow product instructions.

The website and its text, photographs, graphics, logos, product materials, and other content are owned by or licensed to Brightenlux and are protected by applicable intellectual property laws. You may view and print content for legitimate internal business evaluation, but you may not reproduce, publish, sell, or create derivative works without prior written permission.

The website is provided on an as-available basis. To the maximum extent permitted by law, we do not guarantee uninterrupted access or that all content will always be complete, current, or error-free. Product suitability depends on your specific application, and you are responsible for obtaining appropriate professional or technical advice.

Neither party excludes liability that cannot legally be excluded. Any additional limits, exclusions, or remedies relating to products will be governed by the confirmed quotation or sales agreement and applicable law.

Unless a confirmed order or separate agreement states otherwise, these terms are governed by the laws applicable at our registered place of business, without regard to conflict-of-law rules. The parties should first attempt to resolve disputes through good-faith negotiation.

We may revise these terms from time to time. Updated terms apply from the date shown above and do not retroactively change an already confirmed order unless the parties agree in writing.
